Using operational due diligence to accelerate value creation

The Challenge

When Agathos Management LLP was investing in Enfuse Group – a fast-growth digital transformation consultancy – they needed an operations due diligence provider that could do more than just help them de-risk the transaction. They wanted a DD partner that had deep consulting expertise and could help them and the Enfuse management team accelerate their plans for growth and value creation.

And very importantly, they wanted the diligence process to be a positive experience that would help them build engagement and forward moment with the Enfuse team.

The Solution

Agathos selected Garwood based on our deep consulting industry expertise and the strength of our operations DD process and tools. Over a four-week period, we assessed all aspects of Enfuse’s operating model – from sales and delivery through to operations, people and finance.

Using workshops, one-to-one meetings and detailed data analysis, we collaborated with the Enfuse and Agathos teams to:

  • Review the business’ growth plans.
  • Agree practical steps they could take to build on Enfuse’ strengths and address gaps and risks.
  • Ensure the financial plan included all necessary operating costs and investments at an appropriate level.
  • Deepen the Enfuse founders’ understanding of where they would need to focus and how they would need to operate to maximise the opportunity of Agathos’ private equity investment.
  • Strengthen Agathos’ understanding of the Enfuse business and how they could support the management team’s success.

 

Given the pressures the overall DD process can create, we worked in a way that respected the time, knowledge and expertise of management and the Agathos team. We built relationships of trust with both teams and used those to help them further strengthen their understanding of each other.

The Result

Through Garwood’s operations DD support, Agathos and Enfuse gained a clear understanding of:

  • What needs to be done operationally to achieve their growth and value creation plans.
  • How to prioritise their efforts so they get the right foundations in place at the right time.
  • How the Enfuse team can lead change and mature the business while still maintaining a positive, engaging culture that attracts both staff and customers.

 

Perhaps most importantly, they came away greater confidence in their shared plans for the future.
